Directors and officers (D&O) coverage addresses defined management-liability allegations against a company and/or its directors, officers, managers, or board members. A claim might challenge a financing, expansion, acquisition, disclosure, or governance decision. It is not a blanket policy for every dispute involving the campground; premises injury, employment claims, pollution, and ordinary contract disputes may belong elsewhere. Because D&O is commonly claims-made, the date and manner of reporting a claim can matter as much as the decision that led to it.
Describe the entity
Prepare the legal names, ownership structure, subsidiaries, management companies, board or member roles, and major changes since the last application. Explain seasonal expansion, acquisitions, financing, development, contracts, and governance practices. Preserve minutes, approvals, conflict disclosures, and indemnification agreements where appropriate.
Review claims-made conditions and gaps
Ask whether the form covers the entity and individuals, whether defense costs reduce the limit, and how severability, allocation of defense between covered and uncovered claims, conduct exclusions, prior acts, change in control, and claims-made reporting work. A demand, inquiry, notice, or lawsuit may have different treatment. D&O is usually separate from employment practices liability; coordinate both with fiduciary, cyber, and general liability rather than assuming one form follows another.
The application and prior-claim disclosures must be accurate. Bring entity documents, board structure, current policies, contracts, and pending notices to a coverage review and quote request through The Southern Agency’s existing quote portal. The policy wording, retention, exclusions, endorsements, jurisdiction, and facts control; this is not legal or corporate-governance advice.
